Terms and Conditions
These Terms and Conditions ("Agreement") govern the use of marketing services provided by [MJMZ L.L.C.], located at [1150 NW 72ND AVE STE 455,MIAMI,FL,33126]. By engaging MJMZ L.L.C.'s services, the client ("Client") agrees to be bound by these terms.
1. Services:MJMZ L.L.C. agrees to provide marketing services to Client as outlined in the agreed-upon proposal or contract. Services may include but are not limited to: strategy development, campaign execution, content creation, and performance analysis.
2. Payment:Client agrees to pay MJMZ L.L.C. the agreed-upon fees for the services rendered. Payment terms and schedule will be outlined in the contract. Failure to make timely payments may result in suspension or termination of services.
3. Intellectual Property:Any intellectual property developed or provided by MJMZ L.L.C. during the provision of services shall remain the property of MJMZ L.L.C. unless otherwise agreed upon in writing. Client shall have a license to use such intellectual property solely for the purposes outlined in this Agreement.
4. Confidentiality:Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement. This includes but is not limited to marketing strategies, campaign data, and client information.
5. No Refund Policy:Client acknowledges and agrees that all fees paid to MJMZ L.L.C. are non-refundable. This includes fees for services rendered, regardless of the outcome or success of the marketing campaigns. Client understands that marketing results are not guaranteed and refunds will not be issued based on campaign performance.
6. Termination:Either party may terminate this Agreement upon written notice to the other party for any reason. In the event of termination, Client shall remain responsible for payment of any outstanding fees for services rendered up to the effective date of termination.
7. Limitation of Liability:MJMZ L.L.C. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the services provided under this Agreement, even if advised of the possibility of such damages.
8. Governing Law:This Agreement shall be governed by and construed in accordance with the laws of [UNITED STATES OF AMERICA]. Any dispute arising under this Agreement shall be resolved exclusively in the courts located in [UNITED STATES OF AMERICA].
9. Entire Agreement:This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
By engaging MJMZ L.L.C.'s services, Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
